End User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.
This End User License Agreement is a legal agreement between you ("User," "you," or "your") and FINELOG DIGITAL LLC ("Company," "we," or "us") for the use of software applications developed by FINELOG DIGITAL LLC. By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.
1. Grant of License
Subject to the terms of this Agreement, FINELOG DIGITAL LLC grants you a revocable, non-exclusive, non-transferable, limited license to:
- Download and install the Software on devices that you own or control
- Use the Software for personal or internal business purposes
- Create backup copies as reasonably necessary for your use
This license does not grant you any right to sublicense, distribute, or make the Software available over a network where it could be used by multiple devices at the same time, unless expressly permitted in a separate agreement.
2. Restrictions
You agree not to, and you will not permit others to:
- License, sell, rent, lease, lend, or commercially exploit the Software
- Modify, adapt, disassemble, decompile, or reverse engineer the Software
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
- Use the Software for any illegal or unauthorized purpose
- Copy the Software except as permitted for backup purposes
3. Updates and Maintenance
FINELOG DIGITAL LLC may provide enhancements, patches, bug fixes, and updates to the Software from time to time. Such updates may be automatically downloaded and installed. All updates are subject to this Agreement unless a separate license is provided. We are not obligated to provide any updates or support.
4. Termination
This Agreement is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and delete all copies from your devices. Sections that by their nature should survive termination will survive, including but not limited to Restrictions, No Warranties, and Limitation of Liability.
5. No Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINELOG DIGITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE.
7. Severability
If any provision of this Agreement is held to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Specific project scope, deliverables, and terms are governed by the Master Services Agreement or Statement of Work entered into for each engagement.
3. Intellectual Property

Ownership of client deliverables (code, designs, documentation) is determined by the Master Services Agreement. Unless otherwise specified, pre-existing tools, frameworks, and methodologies we use remain our property.

- Reverse engineer, decompile, or attempt to extract source code from our systems or deliverables
- Transmit viruses, malware, or other harmful code

- Interfere with or disrupt our Services or infrastructure
Violation of these terms may result in immediate termination of Services and pursuit of legal remedies.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINELOG DIGITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. YOU USE OUR SERVICES AT YOUR OWN RISK.
7. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved in the state or federal courts located in South Dakota, and you consent to the personal jurisdiction of such courts.
